HCR Conflict of Interest Policy

1. Introduction

This Conflict of Interest Policy applies to all persons involved with Humanity Care Relief (HCR), including Trustees, Members, Staff, Associates, and Volunteers.

2. Understanding Conflicts of Interest

A Conflict of Interest does not inherently imply wrongdoing or unethical behavior. It is a normal occurrence in organizations involving individuals who are active and committed to their roles. The issue arises only when Conflicts of Interest are not properly declared, acknowledged, and managed.

3. Types of Conflicts of Interest

It is crucial to ensure that the reimbursement of out-of-pocket expenses is not, and does not appear to be, a disguise for income payments (remuneration) to the recipient(s).

Direct Financial Gain: Situations where a Trustee or their connected persons receive a financial benefit from HCR, such as payment for services or employment within the charity.
Indirect Financial Gain: For example, if a trustee’s spouse or partner is employed by the charity.
Non-Financial Gain: Situations where a trustee also uses the charity’s services.Non-Financial Gain: Situations where a trustee also uses the charity’s services.
Conflict of Loyalties: For example, if a trustee is also an employee of a funding organization or has close personal relationships with someone employed by the charity.

4. Legal and Ethical Obligations

Trustees have a legal duty to act in the best interests of HCR, avoiding situations where their personal interests may conflict with their responsibilities. Similarly, Staff, Associates, and Volunteers must avoid conflicts that could impair their judgment or actions.

5. Policy Objectives

The primary aim of this policy is to promote transparency and integrity by requiring the declaration of all potential conflicts of interest. This protects both the organization and its stakeholders from any appearance of impropriety.

6. Declaration of Interests

All individuals involved with HCR are required to declare their interests and any benefits received in connection with their role. This includes gifts, hospitality, or any preferential treatment that may influence decision-making.

Declarations should be made in writing to the Board of Trustees at the earliest opportunity. When in doubt, it is better to declare a potential conflict than to risk an undisclosed conflict of interest.

7. Management of Conflicts of Interest

When a conflict of interest is declared, it will be reviewed by the Trustees to assess the risk and determine appropriate measures to mitigate or eliminate the risk. The individual involved in the conflict may be asked to provide additional details but will not participate in the decision-making process related to the conflict.

All conflicts of interest and the actions taken to manage them will be recorded in HCR’s Register of Conflicts of Interest. This register will include:

The date the conflict was reported and any subsequent updates.
The names of the individuals involved and their roles within the charity.
The nature and extent of the conflict.
The potential impact on the charity.
The measures taken to mitigate the conflict.

8. Data Protection

Information provided will be processed in accordance with the current Data Protection legislation. The data will be used solely to ensure compliance with this policy and will not be used for any other purpose.

9. Decision-Making and Voting

In cases where a decision involves a conflict of interest, the affected individual will not participate in the vote. The decision will be made by a majority vote of the remaining Trustees, and the outcome will be recorded in the minutes of the meeting.

10. Managing Contracts

Individuals with a conflict of interest must not be involved in managing or monitoring contracts in which they have an interest. Independent oversight will be employed to ensure the integrity of the contracting process.

11. Register of Conflicts of Interest

HCR will maintain a Register of Conflicts of Interest, which will be accessible to Trustees and, under certain conditions, to Members of HCR. The Trustees reserve the right to withhold details that compromise individual privacy or contain commercially sensitive information.

12. Compliance and Review

This policy will be reviewed regularly to ensure its effectiveness and compliance with legal requirements. All members of HCR are expected to adhere to this policy, and any breaches may result in appropriate action, including removal from their position within the charity.

This policy is designed to ensure that Humanity Care Relief operates with the highest standards of integrity and transparency, maintaining the trust of its beneficiaries, donors, and the public.
